1Agreement to these terms

These Terms of Service ("Terms") are an agreement between you and Les Experts AI ("Les Experts AI," "we," "us," or "our"). They cover two things: using this website, and engaging us to deliver services.

By using this site, or by signing an order, statement of work, or proposal that references these Terms, you accept them. If you're agreeing on behalf of a company, you confirm you're authorised to bind that company.

The contracting legal entity is Idea Crafters LLC, incorporated in Wyoming, USA (EIN 33-4434505).

Where a signed order or statement of work conflicts with these Terms, the signed document governs for that engagement.

2What we provide

Les Experts AI is an AI execution team you run as a subscription. We design, build, deploy, integrate, and optimise AI and automation systems that live inside your business and do real work.

This is execution, not consulting. We don't hand you a slide deck of recommendations and leave — we ship working systems and keep them running. Figures shown on our site reflect representative client outcomes; results vary by engagement and depend on your data, your team, and the problem we're solving together.

3Engagement, plans & lanes

Work is organised into lanes. A lane is a focused stream of execution defined by one of your priorities — a KPI or a strategic initiative. Each lane comes with a guaranteed 8 focused hours every week.

You can run a single lane and add more over time. Lanes are billed per lane (see Fees & payment). The plan you choose — month-to-month, 6-month, or 12-month — sets the term and pricing for each lane.

3.1 Your part of the work

For us to deliver, you provide timely access to the systems, accounts, data, and people we need, and reasonable cooperation throughout the engagement. Where we're blocked on access or input from you, that time still counts against the lane's weekly hours.

4Fees & payment

The base price is $4,000 per month, per lane. The payment schedule depends on the plan you choose:

Month-to-month 30% due 2 weeks prior to start, 70% before commencement. Following months 100% prepaid, 2 weeks in advance.
6-month 50% due 2 weeks prior to start. Remainder invoiced at $2,700/month, billed 2 weeks in advance.
12-month 25% due 2 weeks prior to start, 25% before the second month. Balance at $2,400/month, billed 2 weeks in advance.

Invoices are billed in advance of each period. For accepted payment methods by country, see how to pay your invoice. Taxes (VAT, GST/HST, sales tax, withholding, and similar) are your responsibility unless your invoice states otherwise.

important: deposits and prepayments are timed to the dates above — your start date depends on cleared funds, so the up-front amount must reach us at least 2 weeks before work begins, and every following period is prepaid 2 weeks ahead.

Invoices are due as scheduled above. Overdue amounts accrue interest at 1.5% per month (or the maximum allowed by law, if lower) after a 15-day grace period, and we may pause or suspend work on the affected lane once an invoice is more than 30 days overdue.

5Pause & banked time

Any plan can be paused with 7 days' notice. Unused time isn't lost — it's retained and banked. Banked time is valid for 6 months on the 6-month plan and 12 months on the 12-month plan, and can be reactivated within that validity period.

important: contractual payments continue as scheduled during a pause. A pause holds your time, not your billing — banked hours stay available to reactivate within their validity window.

6Intellectual property

We build deliverables for you — automations, integrations, configurations, prompts, and the systems wired into your business. The software and work product we create specifically for you become yours: on full payment of the fees for that work, we assign to you the intellectual property in those bespoke deliverables.

Les Experts AI retains all rights in its pre-existing tools, frameworks, templates, methods, and know-how — including anything we developed before or independently of your engagement. Where our deliverables incorporate that pre-existing material, you receive a licence to use it as part of the delivered system, but ownership of the underlying material stays with us.

7Confidentiality

Confidentiality runs both ways. Each side will protect the other's non-public information — business data, systems, plans, and anything reasonably understood to be confidential — and use it only to perform or receive the services.

This doesn't cover information that's already public, independently developed, or lawfully received from someone else without a duty of confidence, or disclosure required by law.

8Third-party AI providers

We're provider-agnostic — we pick the right model and platform for each job. Delivering your systems may require your data to be processed by third-party model providers (for example Anthropic, OpenAI, or Google) and automation platforms (for example n8n, Make, or Zapier).

Those providers process data under their own terms. We choose them to fit the work and configure them as part of the build. How we handle your data, and what these providers receive, is described in our Privacy Policy.

9Warranties & disclaimers

We perform the services professionally, with reasonable skill and care. That said, AI is probabilistic: outputs can be imperfect, incomplete, or wrong, and they require human oversight before you rely on them. You're responsible for reviewing outputs before acting on them in your business.

We don't guarantee specific outcomes. Any figures or results shown on our site reflect representative client outcomes; results vary with your data, your market, and your team. To the extent permitted by law, services are provided without implied warranties beyond what these Terms state.

10Limitation of liability

To the maximum extent permitted by law, neither party is liable to the other for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill, arising from the services or these Terms.

important: to the maximum extent permitted by law, Les Experts AI is not liable for loss or damage arising from the services or these Terms. Nothing here excludes or limits liability that cannot lawfully be excluded — such as liability for fraud, gross negligence, or personal injury.

11Term & termination

Each engagement runs for the term of the plan you chose. Either party may end an engagement as set out in the signed order or statement of work — for example, at the end of a month-to-month period, or for an uncured material breach by the other party.

On termination: amounts already invoiced and due remain payable, and prepaid amounts are handled per your plan. Banked time stays subject to its validity window (see Pause & banked time); fixed-term commitments (6-month and 12-month) are honoured for the rest of the term unless your agreement says otherwise.

12Governing law & disputes

These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Venue: the state and federal courts located in Sheridan County, Wyoming.

The parties will try to resolve any dispute in good faith before starting proceedings.

For clients in the European Union and the United Kingdom, nothing in these Terms removes the protection of mandatory local consumer or data-protection rights that apply to you and cannot be waived by agreement — those rights are unaffected.

Subject to those mandatory rights, these Terms are governed by the laws of the State of Wyoming, USA (where the contracting entity is incorporated), with venue in the courts of Sheridan County, Wyoming. The parties will try to resolve any dispute in good faith before starting proceedings.

These Terms and any dispute arising from them are governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules. The parties submit to the courts of Québec.

13Changes to these terms

We may update these Terms as our service evolves. The current version always lives on this page, with the date at the top showing when it last changed. For material changes affecting an active engagement, we'll give you reasonable notice. Continuing to use the site or the service after an update means you accept the updated Terms.
